Dear Service Merchandise Vendor:

February 14, 2003

To: All Eckerd Vendors

Subject:  EDI Invoicing

Eckerd Corporation has a long-standing business requirement that our vendor partners participate in the electronic exchange of critical business information.  We firmly believe that communicating electronically benefits both our suppliers and Eckerd by eliminating costly paper documents and providing faster access to key information.

Eckerd is committed to trading financial documents with our suppliers via Electronic Data Interchange (EDI).

By July 1, 2003, Eckerd requires that all vendors electronically exchange the following critical documents via EDI:

Direct Store Delivery (DSD) Vendors:

810 Invoice (both charges and credits – version 4030)

Non-Resale Vendors (Expense Items, Capital Items, Services):

810 Invoice (both charges and credits – version 4030)

Warehouse Vendors:

810 Invoice (both charges and credits – version 4030)

850 Purchase Order (outbound to vendor – version 3060)

Failure to comply may result in a fee charged for each document processed manually.

To facilitate a fast and cost-effective implementation, we have partnered with eB2B Commerce, Inc.  eB2B Commerce provides complete EDI outsourcing, as well as a Web site that allows you to exchange Purchase Orders and Invoices with Eckerd using only your Internet browser.  These solutions are simple to use, inexpensive and do not require you to purchase or maintain any electronic commerce software.

If you choose to trade with Eckerd via traditional EDI, Eckerd partners with Global eXchange Services http://www.gxs.com/ and QRS http://www.qrs.com as direct connect Value Added Networks.

As a valued supplier, it is imperative that you choose an alternative to exchange information with us through either eB2B Commerce or through traditional EDI.  For the eB2B Commerce solution please contact them directly at (800) 828-3932, or e-mail support@eb2b.com.  You can enroll in the eB2B Commerce web solution online right now at http://www.eb2b.net.  Simply follow the instructions displayed on your screen.  Please contact the Eckerd EDI Hotline at (800) 709-9090 if you are ready to test using traditional EDI or have any questions about that option.

Eckerd also supports the EDI 820 Remittance Document and Electronic Funds Transfer (EFT).  Mandatory vendor compliance for these processes may be considered in the future.

We look forward to working with you in the near future and we thank you in advance for your cooperation.
